When and where will the next Annual General Meeting be held?
The next Annual General Meeting will be held on March 18, 2009.

How long does an Annual General Meeting last?
The official part of the Annual General Meeting normally lasts between 90 minutes and two hours. Following the official part, a meal offered by the company will be served.

Who can attend an Annual General Meeting?
Only shareholders of Georg Fischer Ltd are permitted to attend the Annual General Meeting.

Can I bring someone with me?
Unfortunately not. Only shareholders are permitted to attend the Annual General Meeting.

How and when will I receive an invitation?
Shareholders will be sent a personal invitation by mail 20 days prior to the Annual General Meeting.

Is there a deadline?
Yes. For reasons of organization, no entries can be made in the company’s share register later than approximately one week prior to the Annual General Meeting. This means that no shares with voting rights at the Annual General Meeting on March 18, 2009, shall be entered in the company share register from March 6 to 18, 2009.
All shareholders who are listed in the share register with voting rights by March 6, 2009, will receive a personal invitation.

Is it possible to trade shares of Georg Fischer Ltd even after the deadline?
This is, of course, still possible.
In the event that you sell any shares listed on your admission card during this time, however, the right to vote for these shares no longer exists. In this case, the admission card sent to you, including all voting material, must be rectified upon entering the Annual General Meeting.

I have received the invitation. What do I do now?
In order for you to be able to attend the Annual General Meeting personally, you must have an admission card. The reply coupon necessary for obtaining one is enclosed with the invitation and must be returned to Georg Fischer by March 12, 2009 (date of receipt at the company).
An early return of the reply coupon will facilitate the preparation of the share register. The admission cards, together with the voting material, will be mailed as of March 9, 2009.

Can I have someone represent me at the Annual General Meeting?
Yes. In the event that you are unable to attend the Annual General Meeting in person, you can be represented as follows:
a) by another shareholder entitled to vote
b) by a representative officer from Georg Fischer
c) by an independent representative
d) by your custodian bank
e) by your spouse.

How do I delegate my voting rights to another shareholder?
Order your admission card with the reply coupon enclosed with the invitation. Fill in and sign the power of attorney on the back of your admission card and send it together with the voting documents directly to the shareholder entitled to vote.

How do I delegate my voting rights to the representative officer?
If you return the signed reply coupon enclosed with the invitation without voting instructions, the representative officer will exercise your voting rights in line with all Board proposals.
The representative officer at the Annual General Meeting in 2009 is Ms Barbara Senn, Corporate Compliance Officer for the Georg Fischer Corporation.

What is a representative officer?
The representative officer is either a member of the Georg Fischer Corporation or an independent person otherwise appointed by her to represent the company and entitled to exercise her right to vote in line with all Board proposals.

How do I delegate my voting rights to an independent representative?
Sign the reply coupon enclosed with the invitation and submit it directly to the independent representative. On a separate form, which is also enclosed for this purpose, you can include exact voting instructions for each item on the agenda. In the absence of voting instructions, the representative will exercise his right to vote in line with all Board proposals.
The independent representative at the Annual General Meeting in 2008 was Mr Alfons Furrer (PricewaterhouseCoopers AG, St. Jakobs-Strasse 25, 4002 Basel).

What is an independent representative?
If a company listed on the stock exchange, like Georg Fischer, designates a representative officer, it must designate an "independent person whose representation can be authorized by the shareholders" (Article 689c of the Swiss Code of Obligations). The independent representative exercises the voting right as prescribed by the written voting instructions.

How do I delegate my voting rights to my bank?
Order the admission card using the reply coupon enclosed with the invitation. Fill in power of written attorney on the back of your admission card and submit the admission card with the voting material directly to your bank, including your written voting instructions.

What is the deadline for delegating the power of attorney?
As soon as you have received the admission card, you can delegate the power of attorney to one of the representatives mentioned above.
Delegating your voting rights to another shareholder or to your spouse is possible until just before the registered part of the Annual General Meeting begins. In the case of a representative officer or an independent representative, we kindly request that you take into account that an early return of all documents will facilitate the preparation of the Annual General Meeting.

I cannot find my admission card or have not received one. Whom should I contact?
The admission cards and all voting material will be sent by mail from March 9 to 12, 2009. Thereafter, sending of material is no longer possible due to time constraints.
In the event that you have not received the material or can no longer find it, please report this at the information desk at the entrance on the day of the Annual General Meeting. You will receive your admission card and voting material after proof of identification and verification of your name being listed in the share register as a shareholder entitled to vote.

The number of shares listed is incorrect. Who can give me information?
Please contact your custodian bank or report this at the information desk at the entrance on the day of the Annual General Meeting.

What happens if I arrive late?
Admission will still be granted.

What is the correct procedure for taking the floor?
The person chairing the assembly will ask whether anyone would like to take the floor before each item is voted on. Please make your request clearly and proceed to the microphone on the right in the front of the hall. Please limit your question to this specific item.
You can also ask questions in writing, sending them in written form to the Board of Directors (address: Georg Fischer Ltd, General Secretariat, Amsler Laffon Strasse 9, 8201 Schaffhausen). In the event that you would like to expound on a particular item at the Annual General Meeting, you must attend the Annual General Meeting and request to take the floor at the time of that particular item on the agenda.

I have sold shares after receiving the admission card and voting material. Are these documents still valid?
In the event that you have sold a portion of your shares: You are no longer entitled to vote for the shares you have sold. Please report this at the information desk at the entrance on the day of the Annual General Meeting so that you can obtain a rectified admission card and voting material.
In the event that you have sold all of your shares: You are no longer entitled to vote at the Annual General Meeting and can no longer attend.

I have purchased shares several days prior to the Annual General Meeting. Am I entitled to vote?
You are already a shareholder of Georg Fischer: Under these circumstances, the purchase of shares can no longer be entered in the share register because no shares shall be entered in the company share register from March 6 to 18, 2009, which entitle you to vote at the Annual General Meeting on March 18, 2009. Your admission card and voting material are, however, still valid.
You are a new shareholder: Under these circumstances, the purchase of shares can no longer be entered in the share register because no shares shall be entered in the company share register from March 6 to 18, 2009, which entitle you to vote at the Annual General Meeting on March 18, 2009.
In the event that an entry in the company share register is no longer possible, you are not entitled to vote at the Annual General Meeting. Nevertheless, in order for you to attend the Annual General Meeting, we would be happy to issue you a guest card. Please report to the information desk at the entrance on March 18, 2009 and show the receipt to prove your purchase of shares.
